1. Acceptance of these terms

By accessing headwatersinsights.com or engaging Headwaters Insights ("Headwaters," "we," "us") for any dashboard, KPI, or advisory service, you ("client," "you") agree to these Terms of Use. If you don't agree, please don't use the site or our services.

2. What we do and don't do

Headwaters Insights provides business dashboards, KPI tracking, and strategic advisory services built from data you provide or authorize us to access. We are not a bookkeeping, tax preparation, payroll, or accounting firm, and nothing we deliver should be treated as bookkeeping, tax, legal, or accounting advice. If you need those services, we're happy to refer you to a qualified partner.

3. No guarantee of results

Dashboards, reports, and insights we provide are based on the data available to us at the time and are intended to help you make more informed decisions. They are not a guarantee of any specific financial outcome, revenue, profit, or business result. You remain responsible for the business decisions you make using our work.

4. Client responsibilities

• Providing accurate, complete data exports or platform access as agreed for your engagement.
• Delivering manual data exports (if applicable) on the schedule agreed at kickoff. Late exports may delay deliverables or push back scheduled meetings.
• Reviewing deliverables and raising questions or corrections in a timely manner.

We are not responsible for inaccuracies in dashboards or insights that result from incomplete, outdated, or incorrect data provided by the client.

5. Payment terms

Project fees, payment schedules, and retainer terms are set out in your individual proposal, invoice, or service agreement. Where a split-payment option is offered, any associated fee will be disclosed before you choose it. Retainer services are billed on the cadence agreed at signup and may be paused or discontinued per the terms of your specific agreement.

6. Data handling and confidentiality

We treat your business data as confidential and use it only to build and maintain your dashboards and deliverables. Where AI tools are used as part of our workflow, we work from exported or static data rather than maintaining live, continuous connections to sensitive systems such as your accounting software. We do not sell client data.

7. Intellectual property

Dashboards and reports built for you during an active engagement are yours to use for your business. Headwaters retains ownership of our underlying methodology, templates, and any proprietary tools or frameworks used to deliver the work. If you'd like to migrate a dashboard to your own hosted account, migration terms and any associated fee will be set out separately.

8. Limitation of liability

To the fullest extent permitted by law, Headwaters Insights' total liability for any claim arising from our services is limited to the fees you paid for the specific engagement giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or business opportunities.

9. Termination

Either party may terminate an ongoing retainer per the notice terms in your individual service agreement. One-time engagements (such as a dashboard build) are governed by the scope and terms agreed at kickoff.

10. Changes to these terms

We may update these Terms of Use from time to time. Continued use of our site or services after changes are posted constitutes acceptance of the updated terms.

11. Governing law

These terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.
